Queuey — Cloud Service Agreement (Cover Page)
How this works. This Cover Page adopts the Common Paper Cloud Service Agreement Standard Terms as Queuey's master commercial agreement. The Standard Terms are a free, lawyer-drafted, widely recognised SaaS agreement published by Common Paper under a Creative Commons Attribution 4.0 (CC BY 4.0) licence. You do not rewrite the Standard Terms — you publish this Cover Page, which references them and sets the Queuey-specific values, and modifies them only where noted under "Changes to the Standard Terms".

Changes to the Standard Terms
The following modify or supplement the Common Paper Standard Terms for Queuey. A lawyer should confirm each against the current Standard Terms version, as some may already be covered and only need value changes rather than substantive edits.
§A — Business use only (no consumers). The Cloud Service is offered solely to businesses and organisations acting in the course of a trade, business, craft or profession. It is not offered to consumers. Customer represents that it is accepting this Agreement for such purposes. This is intended so that mandatory Norwegian consumer-protection rules (including any right of withdrawal / angrerett) do not apply.
§B — Governing law and venue. Any provision of the Standard Terms specifying a governing law or venue is replaced by the Governing Law and Venue in the Key Terms above (Norway; Trøndelag tingrett; CISG excluded).
§C — Limitation of liability (mandatory Norwegian law). The liability provisions of the Standard Terms apply, with the aggregate liability cap set at the total Fees paid by Customer to Queuey in the twelve (12) months preceding the event giving rise to the claim. Notwithstanding anything to the contrary, nothing in this Agreement limits or excludes liability that cannot be limited or excluded under mandatory Norwegian law, which includes liability caused by a party's intent (forsett) or gross negligence (grov uaktsomhet), and liability for death or personal injury. For the Free plan and any free, trial, beta or preview feature, Queuey's liability is excluded to the maximum extent permitted by law. Claims arising under the Data Processing Agreement are subject to, and count towards, the same single aggregate cap; no separate or additional cap applies per document.
§D — Definitions (Queuey-specific terms). Capitalised terms used in the Agreement and not defined in the Standard Terms have the meanings below. These definitions apply across the Agreement, including the DPA, the AUP and the SDK Licence.
- "Authorised User" means an individual (such as an employee, contractor or
agent of the Customer) whom the Customer permits to access and use the Service under the Customer's account.
- "Customer Data" means all data that the Customer or its Authorised Users
submit to, transmit through, or configure in the Service, including Event payloads, Endpoint configuration, metadata, and account and credential information supplied by the Customer.
- "Documentation" means Queuey's then-current technical and user
documentation for the Service and the SDK, as made available at queuey.ai or otherwise provided by Queuey.
- "Endpoint" means a Customer-configured HTTP destination (URL) that
receives Events delivered by the Service.
- "Event" means a message or payload ingested into, and delivered by, the
Service.
- "Integration Tenant" means a recipient tenant provisioned under the
Webhooks-as-a-Service (WaaS) feature to receive Events distributed by a producing Customer.
- "Partner" means a participant in Queuey's Partner Program (a commercial
reseller/distribution channel).
- "SDK" means Queuey's client libraries, including the Queuey.Client .NET
SDK, licensed separately under the MIT License.
- "Service" means the Queuey webhooks-as-a-service and event-distribution
platform, including the hosted platform, APIs, sandbox, console/web interface, metrics/observability features and related services made available by Queuey.
- "Subscription Term" means the Subscription Period as defined in the
Standard Terms.
§D — Delivery outcomes not warranted. Queuey does not warrant the successful, timely or complete delivery of any Event to any Endpoint or Integration Tenant, which depends on factors outside Queuey's control (including the availability and behaviour of Customer's Endpoints and networks).
§E — Order of precedence. In case of conflict: (1) an executed Order Form; (2) this Cover Page; (3) the Data Processing Agreement (which prevails over all other documents except an executed Order Form with respect to the Processing of Personal Data); (4) the Standard Terms; (5) the Acceptable Use Policy (which prevails over the Standard Terms and this Cover Page on matters of acceptable use); (6) the Documentation. The Privacy Policy is Queuey's controller-side notice and does not form part of the contractual order of precedence.
§F — Changes to these terms. Queuey may update this Cover Page and the incorporated policies on at least 30 days' notice (for material changes); continued use after the effective date constitutes acceptance, and a Customer that objects to a material adverse change may terminate before it takes effect as its sole remedy.
